These Terms of Service (“Terms”) govern your access to and use of the Tall Trees Syndicate website, online store, customer accounts, subscription services, loyalty programs, content, and related services.

Tall Trees Syndicate is operated by MKJK Enterprises, LLC, a Kansas limited liability company. In these Terms, “Tall Trees Syndicate,” “Tall Trees,” “we,” “us,” and “our” refer to MKJK Enterprises, LLC and the Tall Trees Syndicate brand, as applicable.

By accessing our website, creating an account, placing an order, enrolling in a subscription, participating in a rewards program, or otherwise using our services, you agree to these Terms and any additional policies referenced here.

If you do not agree to these Terms, do not use the website or our services.

1. AGE REQUIREMENT

You must be at least 21 years of age to access or purchase age-restricted products through Tall Trees Syndicate.

By using the website or placing an order for an age-restricted product, you represent that you are at least 21 years old and legally permitted to purchase and possess the product in the jurisdiction where you are located and where the product will be delivered.

You may not knowingly provide false shipping information, use package forwarding or reshipping services, or otherwise attempt to circumvent a geographic, age, product, or legal restriction imposed by Tall Trees Syndicate.

We reserve the right to cancel or decline an order that we determine cannot lawfully or appropriately be fulfilled. If we cancel an order after payment has been collected, the applicable amount will be refunded, subject to any lawful exceptions disclosed before purchase.

3. PRODUCT INFORMATION

We make reasonable efforts to present accurate information about our products, including product identity, quantity, ingredients, cannabinoid content, formulation, variants, pricing, images, availability, and other specifications.

Cannabinoid products are agricultural and manufactured products, and reasonable variation may occur between batches.

When batch-specific testing is available, the certificate of analysis or other batch documentation should be used for information specific to that batch.

Product photographs are intended to represent the product but packaging, labeling, batch identifiers, minor visual characteristics, and other non-material details may change.

We may update, modify, reformulate, discontinue, replace, or limit products without prior notice, subject to our obligations for orders already accepted.

4. NO MEDICAL ADVICE

Information provided through the Tall Trees Syndicate website, blog, product pages, emails, social media, or other communications is provided for general informational and product-selection purposes.

5. PRODUCT USE AND SAFETY

You are responsible for reading and following all product labels, directions, serving information, warnings, and other safety information supplied with a product.

Some cannabinoid products may cause intoxication, impairment, drowsiness, or delayed effects.

Do not drive, operate machinery, or engage in activities requiring unimpaired judgment while impaired by a product.

Cannabinoid use may result in a positive drug test.

Keep all products securely stored and away from children and pets.

Do not use a product if you are not legally or safely able to do so.

6. ORDERS

Submitting an order does not necessarily constitute our final acceptance of that order.

After you submit an order, we may send an electronic confirmation acknowledging receipt. We reserve the right to accept, reject, limit, hold, or cancel an order before fulfillment for reasons including:

• product availability;

• incorrect product or pricing information;

• suspected fraud;

• payment problems;

• age-verification issues;

• geographic restrictions;

• compliance concerns;

• carrier restrictions;

• unusually large quantities;

• suspected resale through a retail checkout;

• technical errors; or

• other legitimate business or legal reasons.

If we cancel an order after collecting payment, we will issue the appropriate refund.

Prices, promotions, discounts, product availability, and offers may change without notice before an order is placed.

You agree to provide current, complete, and accurate billing and payment information.

By submitting payment information, you represent that you are authorized to use the payment method provided.

You authorize us and our payment providers to charge the amounts presented to you during checkout, including applicable product charges, shipping charges, taxes, subscription charges, and other charges clearly disclosed before purchase.

Applicable sales taxes and similar governmental charges may be calculated and collected as required.

We do not guarantee that pricing or product information will always be free from typographical, technical, or system errors.

If an obvious pricing or product-information error affects an order, we may cancel the affected order and refund amounts paid rather than fulfill the transaction at the erroneous price.

8. SHIPPING AND DELIVERY

Shipping availability varies by product and destination.

Current shipping practices, processing information, restrictions, and related details are governed by our Shipping Policy, which is incorporated into these Terms by reference.

Delivery dates and transit times are estimates unless expressly stated otherwise.

Carrier delays, weather events, natural disasters, governmental actions, address problems, peak shipping periods, and circumstances outside our reasonable control may affect delivery.

If we cannot ship an order within the time represented at purchase or within the period otherwise required by applicable law, we will handle the delay, cancellation opportunity, and any required refund in accordance with applicable law.

Customers are responsible for providing a complete and accurate delivery address.

9. RETURNS, REFUNDS AND CANCELLATIONS

Returns, refunds, replacements, order problems, and voluntary cancellations are governed by our current Refund & Return Policy, which is incorporated into these Terms by reference.

Any cancellation fee stated in that policy applies only where permitted by law.

Nothing in these Terms or our Refund & Return Policy limits a refund, replacement, cancellation right, warranty, or other remedy that cannot legally be limited or waived.

10. SUBSCRIPTIONS AND RECURRING PURCHASES

Certain Tall Trees Syndicate products may be offered as subscriptions or other recurring purchases.

Before enrolling, you will be provided with the material terms of the subscription, which may include:

• price;

• billing frequency;

• shipment frequency;

• products or product categories included;

• whether products rotate;

• renewal terms; and

• how to cancel.

By affirmatively enrolling in a subscription, you authorize Tall Trees Syndicate and its payment providers to charge your selected payment method at the disclosed frequency until the subscription is canceled or otherwise terminated.

Subscription contents may rotate where the subscription is described as a curated, rotating, or variable assortment.

You may cancel a subscription through the cancellation method made available for the applicable subscription.

Cancellation requests must be completed before the next applicable processing or billing deadline to prevent the next shipment or charge where permitted by law.

We will not intentionally create unnecessary barriers to cancellation.

If subscription pricing or another material subscription term changes, we will provide any notice or obtain any additional consent required by applicable law before the change applies.

Additional subscription terms displayed when you enroll are incorporated into these Terms.

11. PROMOTIONS, DISCOUNTS AND PROMO CODES

Promotions may be subject to additional terms such as:

• beginning and ending dates;

• minimum purchase amounts;

• product exclusions;

• customer eligibility;

• redemption limits;

• non-stacking rules;

• geographic restrictions; or

• inventory limitations.

Unless expressly stated otherwise, promotional offers have no cash value and cannot be applied retroactively to completed purchases.

We may refuse or cancel the use of a promotion when we reasonably determine that it has been used fraudulently, improperly, or contrary to its stated terms.

We may correct an obvious promotional or technical error.

12. CANOPY CREW AND OTHER LOYALTY PROGRAMS

Tall Trees Syndicate may operate rewards, loyalty, referral, promotional, or membership programs, including Canopy Crew.

Program rules, earning rates, redemption options, expiration rules, and available rewards may change from time to time.

Points, coins, credits, rewards, or similar program benefits are promotional benefits and are not cash, property, stored value, or legal tender except where applicable law provides otherwise.

Rewards may not be sold, transferred, or exchanged except as expressly permitted by the applicable program.

We may adjust rewards resulting from returns, cancellations, fraud, technical errors, abuse, or transactions that are later reversed.

We may suspend or terminate participation for fraudulent or abusive conduct.

Any termination or modification of a loyalty program will be handled subject to applicable law and any additional program terms presented to participants.

13. ACCOUNTS

Some features may allow or require you to create an account.

You agree to provide accurate information and to keep your account information reasonably current.

You are responsible for maintaining the confidentiality of your login credentials and for activities performed through your account when those credentials are used with your authorization or because you failed to protect them reasonably.

Notify us promptly if you believe your account or credentials have been compromised.

We may suspend or restrict accounts associated with suspected fraud, unauthorized access, abuse, legal violations, or violations of these Terms.

14. ELECTRONIC COMMUNICATIONS

When you place an order, create an account, enroll in a subscription, or otherwise transact with us electronically, you consent to receive transactional communications necessary to administer that relationship.

Marketing emails and promotional communications are handled separately and may be unsubscribed from using the method provided in those communications.

23. INDEMNIFICATION

To the extent permitted by applicable law, you agree to be responsible for losses, claims, liabilities, or expenses reasonably arising from your unlawful misuse of the website, your violation of these Terms, your infringement of another person's rights, or fraud committed by you.

This section does not require a consumer to indemnify Tall Trees Syndicate for Tall Trees Syndicate's own unlawful conduct, negligence, breach of contract, or other responsibility that cannot lawfully be shifted to the consumer.

24. EVENTS OUTSIDE OUR REASONABLE CONTROL

We are not responsible for delay or failure caused by events outside our reasonable control to the extent permitted by law.

Such events may include severe weather, natural disasters, fires, strikes, transportation interruptions, governmental orders, regulatory changes, carrier interruptions, power or network failures, public emergencies, or similar events.

This provision does not eliminate obligations that applicable law requires us to perform despite such an event, including applicable refund obligations.

Termination does not eliminate obligations arising from transactions completed before termination.

27. GOVERNING LAW

These Terms and transactions with Tall Trees Syndicate are governed by the laws of the State of Kansas, without regard to conflict-of-laws principles, except to the extent that applicable federal law or the non-waivable consumer-protection law of another jurisdiction applies.

Nothing in this section deprives a consumer of protections that applicable law does not permit the consumer to waive.

Unless applicable law provides otherwise, disputes not resolved informally may be brought in a court of competent jurisdiction in the State of Kansas.

28. INFORMAL DISPUTE RESOLUTION

Before filing a legal action, we encourage you to contact Tall Trees Syndicate and provide sufficient information for us to understand and attempt to resolve the issue.

This informal process is voluntary and does not shorten, waive, or replace any statutory limitation period, filing deadline, administrative remedy, or other right provided by applicable law.

29. SEVERABILITY

If a provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will continue in effect to the extent permitted by law.

Any invalid provision will be interpreted or limited only to the minimum extent necessary to make it enforceable where permitted.

30. NO WAIVER

Our failure to enforce a provision of these Terms on one occasion does not waive our right to enforce that provision or another provision later.

Nothing in these Terms constitutes a waiver by a consumer of any right that cannot legally be waived.

31. ENTIRE AGREEMENT

These Terms, together with applicable policies and terms incorporated by reference, constitute the agreement governing your use of the Tall Trees Syndicate website and retail ecommerce services.

Relevant incorporated policies may include:

• Refund & Return Policy;

• Shipping Policy;

• Subscription Policy or subscription terms;

• promotion-specific terms; and

• loyalty or rewards-program terms.

Separate written agreements may apply to wholesale accounts, dealers, vendors, commercial partners, or other business relationships.
